These Terms of Use (the "Terms") govern your use of the Multifactor website located at multifactor.com and all related websites and applications (collectively, the "Site") and is an enforcable contractual agreement between you and Solid, Inc. ("Multifactor," "we", "us", or "our"). By accessing, using, registering for, or otherwise visiting the Site or any of its related services in any way, you acknowledge that you have read and agreed in full to these Terms. You further agree to be bound by the Privacy Policy and the Intellectual Property Policy, which are incorporated herein by reference. By using the Site, you agree to these Terms; if you can not or do not agree, do not use the Site.
We reserve the right to revise the Terms at any time by updating this document. It is your responsibility to check these Terms periodically for changes. Your continued use of the Site after the update will constitute your acceptance of the revised Terms.
The Terms were enacted on 6/25/2016 and were last modified on 6/13/2017.
By using the Site, you represent and warrant that:
you are 18 years of age or older and have the authority and capacity to enter into the Terms;
you will use the Site only for its intended purpose;
no portion of the Terms or the Site is unlawful, restricted, or prohibited in your jurisdiction; and
all information to submit to the Site will be truthful, complete, and accurate in all respects.
You will not use the Site:
to circumvent, disable, overburden, damage, or impair the Site or the access of any other person to the Site;
in any manner which may be deemed offensive, illegal, fraudulent, harassing, or which violates the intellectual property rights of any other person; or
to use any robot, spider or other automatic device or method of monitoring, indexing, copying, or decompiling the Site.
The Site is the sole property of Multifactor. Given that you comply with these Terms, Multifactor grants you a limited, non-transferable, non-exclusive, personal license to use the Site. We may disable or restrict your access to the Site at any time and for any reason without notice. Further, Multifactor may discontinue or change the Site at any time without notice and without penalty.
Certain features or services offered on or through the Site may require you to open an Account (the "Account"). You are entirely responsible for maintaining the confidentiality of the information you hold for your Account. If you elect to create an Account, you agree to keep your login credentials, including your password confidential at all times. To help Multifactor protect your Account and the accounts of our other users, you agree to notify us immediately if you suspect any unauthorized use of your Account or password, or any other breach of security.
You may be held liable for losses incurred by Multifactor or any other user of or visitor to the Site due to someone else using your Account or password as a result of your failing to keep your Account information secure and confidential. You further agree that we will not be liable for any breach of the security of your Account whatsoever.
You may not access anyone else’s Account at any time without the express permission and consent of the holder of that Account. Multifactor will not be liable for any loss or damage arising from your failure to comply with these obligations.
We may restrict or terminate your Account at any time and for any reason whatsoever.
SOLID2FA PROVIDES THE SITE AND ALL CONTENT THEREIN ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS, AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. WE, AND OUR DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS AND CONTENT PROVIDERS DO NOT WARRANT THAT: (I) THE SITE WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (II) THE SITE WILL BE FREE OF ERRORS, (III) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (IV) THE RESULTS OF USING THE SITE WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.
IN NO EVENT SHALL SOLID2FA, NOR OUR DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS, BE LIABLE UNDER ANY THEORY OF RECOVER, WHETHER SOUNDING IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE, WITH RESPECT TO THE SERVICES (I) FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, COMPENSATORY OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER , (II) FOR ANY BUGS, ERRORS, VIRUSES, GLITCHES, OR TROJAN HORSES, OR (III) FOR ANY DIRECT DAMAGES IN EXCESS OF $200.00 IN THE AGGREGATE.
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS SOLID2FA FROM AND AGAINST ANY CLAIM, LOSS, LIABILITY, FEE, OR COST OF ANY KIND, INCLUDING ATTORNEYS' FEES, RELATING TO YOUR BREACH OF THE TERMS OR YOUR USE OF THE SITE IN ANY WAY.
The Terms and your use of the Site shall be governed exclusively by the laws of the state of Delaware and the United States. You agree that any dispute brought under the Terms or relating to your use of the Site in any way shall be brought exclusively in the state or federal courts of Delaware
The parties agree to waive their right to participate in any class or group litigation of any kind. The parties further agree to waive their rights to a jury trial.
Notwithstanding the terms of this Section 8, each party retains the right to bring an individual action to seek injunctive or other relief in a court of competent jurisdiction to prevent (1) the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents or other intellectual property rights or (2) actual or threatened tortious interference with a business relationship or contract.
Multifactor may provide you with email messages regarding Multifactor and the Site. This may include periodic or requested reports generated by the Site. You hereby consent to receive these emails. You may opt out of most emails by following the opt-out instructions contained in the respective email. You may not be able to opt-out of administrative Site messages without deleting your Account.
The Terms, coupled with the Privacy Policy and Intellectual Property Policy incorporated herein by reference, comprises the complete and entire agreement between you and the Multifactor regarding the use of the Site and any services of Multifactor. If any provision of the Terms is held invalid, the remainder of the Terms shall continue in full force and effect to the maximum extent allowed by law.
Any delay or failure of Multifactor to exercise or enforce any portion of the Terms shall in no way constitute acquiescence or a waiver of rights.
You may not assign the Terms without the express written consent of Multifactor. Multifactor may assign the Terms as the result of any merger, sale, or reorganization of Multifactor or its assets.
